e38 tranmission issue code 49

I have a 1998 740il.

Transmission just started bumping off and on and then went into failsafe.

Took it to transmission shop. 1 1/2 quart low on fluid. They saw no leaks. Filled it up and saw same problem.

Said I needed a rebuild. They did get a code 49.

Any other ideas?
