Those aftermarket foglights don't have a cover to conceal the two bolts that screws into the cover. So the color , or overspray, of the bumper will show behind the tabs. I think they will look fugly...

So if you want to have the "BMW OEM" look, then buy the 2nd one.

Our '98 528i w/ manual and sports pkg is currently worth $3500.
There's still more room for it to hit rock...

Pretty much everyone here replaces the whole rack rather than replacing the seal. in the USA, it's rather cheap to buy a remanufactured rack. I think I paid $350 to have a remanufactured rack...
