Please advise - good deal?

I'm looking to buy the car below. Can you guys let me know if you think it's a good price? I got this quote almost two months ago (March 5th) and the dealer still has the car in stock:

2009 335i Coupe
Jet black
Black dakota leather
Steptronic auto transmission
Premium package
Sport package
Paddle shifters
19" wheel upgrade (style 230)
Aluminum trim
Ipod/usb adapter
Floor Mats

MSRP: $49,850

Invoice: $46095 (includes destination fee; $46475 if you include $380 MACO)

Offer price: $46,770 (this includes the $380 MACO fee and $825 destination fee, but not ttl)

1) Should I try going even lower since they've had the car so long?

2) Is MACO included in the "invoice" price people talk about when they say "I got the car for $x over invoice"?

Thanks everyone! Ive worked long and hard for this, so I'm pretty excited.

*Edit* I just saw some threads where people differentiate between "Edmunds.com Invoice" and "Dealer Invoice," which includes MACO. So I would be getting the car for $675 over Edmunds.com invoice, and $295 over dealer invoice. Lots of people say to go for "$500 over invoice." Is that Edmunds.com invoice or dealer invoice?

Thanks!

Buy a low-mileage used one and save about 10k. I'd only go new if doing an ED or if I started to pee greenbacks.
